Welcome to Boyce Armory. These Terms of Service ("Terms") govern your access to and use of the Boyce Armory mobile application, website, and related services (collectively, the "Service") operated by Boyce Armory ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

IMPORTANT — NOT FINANCIAL ADVICE. The Service provides market data, technical scans, alerts, and educational content. Nothing on the Service constitutes investment advice, a recommendation to buy or sell any security, or an offer or solicitation to engage in any transaction. Trading stocks and options involves substantial risk, including the possible loss of all principal. You are solely responsible for your own investment decisions.

1. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

To access most features, you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain the confidentiality of your password.
Notify us immediately of any unauthorized use of your account.
Accept responsibility for all activities under your account.

You may delete your account at any time from within the app (Profile → Delete Account). Deletion removes your personal data and trade history per our Privacy Policy.

3. Not a Broker-Dealer or Investment Advisor

Boyce Armory is not a registered broker-dealer, investment advisor, financial planner, or fiduciary. We do not execute trades on your behalf, hold customer funds, or manage portfolios. The Service is a software tool for educational and informational purposes only.

4. Market Data and Alerts

The Service displays market data, technical indicators, scanner alerts, and "hot trade" picks. This content:

Is provided "as is" for informational purposes only.
May contain delays, errors, or inaccuracies.
Is sourced from third-party data providers, including Massive (Polygon.io). We do not guarantee the accuracy, completeness, or timeliness of any data.
Should not be the sole basis for any trading decision. Always conduct your own research and consult a licensed financial advisor before trading.

5. Risk Disclosure

Trading securities, options, and other financial instruments carries significant risk. You acknowledge that:

Past performance shown in alerts, scanner statistics, or any historical performance data is not indicative of future results.
Options trading carries unique risks including the potential loss of 100% of premium paid.
Win-rate and performance metrics displayed in the app reflect historical patterns and are not promises of future returns.
You may lose all of the money you trade. You should only trade with funds you can afford to lose.
You are solely responsible for understanding the tax implications of your trades.

6. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any applicable laws.
Reverse-engineer, decompile, scrape, or attempt to extract source code or proprietary data from the Service.
Resell, redistribute, or republish alerts, scanner output, or other content without our written permission.
Use automated tools to interact with the Service in ways that disrupt other users or our infrastructure.
Impersonate another person or misrepresent your affiliation with anyone.
Share your account credentials with others.

7. Subscription and Payment

Certain features may require a paid subscription. Subscriptions are billed in advance on a recurring basis (monthly or annually) through your platform's app store (Apple App Store or Google Play). You can cancel at any time through your app store account settings. Refunds are handled per the policy of the platform through which you purchased.

8. Intellectual Property

All content in the Service — including software, alerts, scanner algorithms, branding, copy, and design — is the property of Boyce Armory or its licensors and is protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for personal use only.

9. Third-Party Services

The Service relies on third-party services including Firebase (Google), Massive (Polygon.io), and Render. Your use of the Service is also subject to their respective terms. We are not responsible for outages, errors, or data losses caused by third-party services.

10. Termination

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users or our service. Upon termination, your right to use the Service ends immediately.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOYCE ARMORY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, TRADING LOSSES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

12. Indemnification

You agree to indemnify and hold harmless Boyce Armory and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any rights of any third party, including any trades you place based on information seen in the Service.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the app or on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes your acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. Any disputes arising out of these Terms shall be resolved in the state or federal courts located in Florida.
